Norwegian Register of Business Enterprises deadlines for 2024

The Norwegian Register of Business Enterprises have recently published the deadlines for submitting company resolutions that have a six-week creditor notice, to ensure that such resolutions are registered by end of 2024. The deadlines apply to, inter alia, mergers, de-mergers, share capital decreases and liquidations which must be registered with the Norwegian Register of Business Enterprises (also referred to as the Norwegian Company Register).

If you wish to complete one of the resolutions mentioned above before the end of 2024, the following deadlines apply for electronic submissions (via Altinn):

  • Notification of decision must be sent by 6 October, 2024  
  • The completion notice can only be sent after the creditor notice has expired, and no later than December 1, 2024.

The following deadlines apply for submissions on paper:

  • Notification of decision must be received by The Register of Business Enterprises by October 1, 2024
  • Notification of implementation must be received by November 30, 2024

Note that the deadline for paper submissions refer to when the submission has been received by the Norwegian Register of Business Enterprises. In order to meet the deadline, it is therefore important to estimate postage of the documents to the Norwegian Register of Business Enterprises as well. 

The Norwegian Register of Business Enterprises has not published deadlines for submission of resolutions that do not require a six-week creditor notice period, e.g. share capital increases. Such submissions are subject to the Norwegian Register of Business Enterprise's regular processing times, which is updated regularly here. If you wish to complete resolutions subject to a six-week creditor notice before the end of 2024, you must meet the Norwegian Register of Business Enterprise's deadlines as listed above. We generally recommend estimating sufficient time and starting the process well in advance of the deadlines. In our experience, the processing times of the Norwegian Register of Business Enterprises are usually longer towards the end of the year.
